These Terms and Conditions apply to business-to-business training, consultancy and related services supplied by SJB Smart Electricals Limited, trading as SJB Smart Electricals Training & Consultancy (“SJB”, “we”, “us” or “our”). Our services are offered to organisations, employers, sole traders and other customers acting for purposes connected with their trade, business, craft or profession. Please read these terms before accepting a quotation or making a booking. A quotation, booking confirmation or agreed statement of work may contain additional terms; if there is a conflict, the specifically agreed written term takes priority.
1. Contact and definitions
Contact: steve@sjbsmartelectricals.com.
A customer is the business, organisation, employer or individual acting for business purposes that makes the booking. A delegate is the person attending training. A customer making a booking confirms that it is acting for business purposes and has authority to bind the organisation named in the booking.
2. Quotations and formation of contract
- Unless the quotation states otherwise, a quotation is valid for 30 days from its issue date and may be withdrawn before acceptance.
- A website listing, conversation or provisional date is not a confirmed booking. A contract begins when we issue written confirmation and receive any payment due at that stage.
- The customer must check the course, dates, location, delegate requirements, price and tax treatment shown in the quotation or booking confirmation.
- Prices include or exclude VAT as stated in the quotation, invoice or booking page.
3. Deposits, balances and invoicing
- Unless we agree otherwise in writing, at least 50% of the total booking price is due when the booking is made.
- The remaining balance must clear no later than 14 days before the course or agreed service date. If a booking is made within 14 days, the full price is due when booked.
- For business consultancy or other work that we agree to invoice after delivery or by stages, invoices are due within 30 days of the invoice date unless the quotation or invoice states an earlier date.
- We may withhold joining instructions, certificates, deliverables or further work while an undisputed payment is overdue, where lawful and reasonable.
4. Late business payments
For qualifying business-to-business debts, we may claim statutory interest at 8% per year above the Bank of England base rate, together with the fixed compensation and reasonable recovery costs permitted by the Late Payment of Commercial Debts (Interest) Act 1998. Where the Act does not apply, any interest or recovery amount will be limited to what is stated in the contract and permitted by law.
5. Travel, mileage and accommodation
- Travel, mileage, parking, tolls, accommodation and subsistence required for on-site or bespoke delivery will be charged unless the quotation or booking confirmation states that they are included.
- Where no different rate is stated, car or van mileage will be charged at 55p per mile.
- The mileage charge covers normal vehicle and fuel costs. Parking, tolls, ferries, flights, rail travel and accommodation may be charged separately at reasonable prevailing or actual rates.
- We usually identify or include anticipated travel and accommodation costs in the quotation. Additional reasonable costs may be charged where the location, venue requirements, access arrangements or later customer requests change what was originally planned.
6. Customer cancellations and transfers
- A substitute delegate may attend at no extra charge if they meet the course prerequisites and we receive their details before the course.
- If written cancellation is received more than 28 days before delivery, the deposit may be retained to cover reserved capacity and reasonable committed costs. At our discretion, it may be transferred once to an agreed alternative date.
- If written cancellation is received 28 days or less before delivery, 100% of the agreed price is payable because trainer time, venue capacity, travel, accommodation and preparation will have been reserved or committed.
- We will take reasonable steps to reduce our loss. Any material costs saved or net income received by reselling the place will be credited so that a cancellation charge does not compensate us twice for the same loss.
Our services are supplied on a business-to-business basis. If the law nevertheless treats a booking as a consumer contract, nothing in these terms removes any cancellation right or other statutory protection that cannot lawfully be excluded.
7. Changes or cancellation by SJB
We may make reasonable changes to the trainer, venue, delivery method or timetable where this does not materially reduce the service. If we must cancel or make a material change, we will offer a suitable alternative or refund the amount paid for the affected service. We recommend that customers use flexible travel and accommodation bookings; except where the law says otherwise, we are not responsible for consequential travel or accommodation costs caused by circumstances outside our reasonable control.
8. Delegate responsibilities and course requirements
- The customer must ensure that delegates meet stated prerequisites and provide accurate names, contact details and relevant requirements in good time.
- Delegates must follow reasonable safety, conduct, venue and assessment rules. We may remove a person whose conduct creates a safety risk, seriously disrupts training or involves dishonesty; no refund will be due where removal is reasonable.
- Reasonable adjustments should be discussed as early as possible. We will consider requests fairly, but cannot guarantee an adjustment that would compromise safety, competence standards or assessment integrity.
- Attendance does not guarantee a pass, certificate, authorisation, appointment or particular employment outcome unless expressly stated. Employers and dutyholders remain responsible for workplace appointments, authorisations and supervision.
9. Bespoke training and consultancy
The scope, assumptions, customer dependencies and deliverables for bespoke work will be set out in the quotation or statement of work. Advice is based on the information and access supplied at the time. The customer remains responsible for decisions, implementation, site-specific risk assessment and obtaining any approvals required unless we expressly agree otherwise.
10. Intellectual property and permitted use
Course materials, slides, exercises, templates and other content remain our intellectual property or that of our licensors. A paying delegate may use supplied materials for personal learning and internal workplace reference. Materials must not be copied, recorded, published, resold, used to deliver training or supplied to third parties without written permission.
11. Liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or a consumer’s statutory rights. Subject to that, we are not liable for indirect or consequential loss, loss of profit, business, opportunity or anticipated savings. For a business customer, our total liability arising from the affected service is limited to the fees paid or payable for that service, except where a higher limit is required by law.
12. Events outside reasonable control
Neither party is responsible for delay or failure caused by an event outside its reasonable control, provided it takes reasonable steps to limit the effect and communicates promptly. Payment obligations for services already supplied remain due.
13. Complaints
Please send a complaint promptly to steve@sjbsmartelectricals.com with the booking details and the outcome sought. We will review it fairly and aim to respond within a reasonable time.
14. Privacy
We process personal information as described in our Privacy Policy and use cookies as described in our Cookie Policy.
15. General
If any part of these terms is unenforceable, the remaining parts continue. A delay in enforcing a right is not a waiver. No person other than the customer and SJB has a right to enforce the contract unless expressly agreed.
16. Governing law
These terms and any dispute are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Nothing in this clause removes any mandatory right that the law does not allow the parties to exclude.
17. Advertising and affiliate links
The SJB Electrical Training website and app may display promotions and affiliate links to third-party products, including Amazon. As an Amazon Associate I earn from qualifying purchases. SJB Electrical Training may receive a commission when you make a qualifying purchase through an affiliate link.
Product purchases made through these links are with the third-party retailer. Check its current prices, product specifications, suitability, delivery arrangements and terms before buying. Links may open in a new tab. Inclusion of a product does not mean it is suitable for every course or task.
